SparkedLink Terms of Service

1. Acceptance of Terms

Welcome to SparkedLink. These Terms of Service ("Terms") form a binding legal agreement between you ("you," "your," or "User") and SparkedLink ("SparkedLink," "we," "us," or "our"), the operator of the website located at sparkedlink.com and any associated services, features, applications, content, and tools we provide (collectively, the "Service").

By accessing or using the Service in any way, including by creating an account, generating a date plan, saving a plan, sharing a plan, or simply browsing the site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not access or use the Service.

We may update these Terms from time to time. When we make material changes, we will revise the "Last Updated" date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Eligibility

The Service is intended for users who are at least 18 years old. By using the Service, you represent and warrant that you are 18 or older, that you have the legal capacity to enter into these Terms in your jurisdiction, and that your use of the Service does not violate any law, regulation, or third-party agreement to which you are subject. SparkedLink is not directed to children under 13, and we do not knowingly collect personal information from anyone under 13. If you believe a child under 13 has provided us with personal information, please contact us using the information in Section 24 so we can take appropriate action.

If you are using the Service on behalf of another person, you represent that you are authorized to bind that person to these Terms, and "you" refers to both you and that person.

3. Description of the Service

SparkedLink is a free AI-powered date planning platform. The core features include a guided questionnaire that asks about your location, budget, vibe, preferences, relationship stage, availability, and other inputs, an AI-generated date itinerary that suggests venues, activities, timing, conversation starters, attire ideas, and other thoughtful details, the ability to save, revise, regenerate, and share plans, a discovery feed of curated date ideas, and supporting tools such as notifications, dashboards, and feedback collection.

SparkedLink does not own, operate, manage, sell tickets for, accept reservations at, or otherwise control the third-party restaurants, venues, events, or experiences that appear in any plan. SparkedLink is a planning aid, not a reservation system, ticketing platform, or food and beverage provider.

4. Account Registration and Security

Some Service features, such as saving and sharing plans, require you to create an account. You may register using your email, Google Sign-In, or Apple Sign-In, subject to the terms of those third-party providers. When you create an account, you agree to provide accurate, current, and complete information, to keep your account information up to date, to maintain the confidentiality of your login credentials, and to notify us promptly at the contact address in Section 24 if you suspect any unauthorized use of your account.

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, used in violation of these Terms, or used to engage in fraudulent or harmful activity.

5. User Content

"User Content" means any text, data, photos, ratings, reviews, feedback, free-text responses, shared plans, or other materials you submit to or through the Service.

You retain ownership of your User Content. By submitting User Content to the Service, you grant SparkedLink a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, distribute, modify, create derivative works from, perform, and otherwise use that User Content for the purpose of operating, improving, and promoting the Service, including for training and refining our recommendation systems in aggregated and de-identified form. This license continues for as long as your User Content remains on the Service, even if you delete your account, to the extent it has been shared with others or is necessary for our backup, legal, or business records.

You represent and warrant that you own or have all necessary rights to your User Content, that your User Content does not violate any third-party rights or applicable law, and that your User Content is accurate and not misleading.

You agree not to submit User Content that is unlawful, defamatory, harassing, threatening, hateful, obscene, sexually explicit involving any person, infringing of any intellectual property right, deceptive, fraudulent, designed to interfere with the operation of the Service, or otherwise objectionable in our reasonable judgment.

We have no obligation to monitor User Content, but we reserve the right to review, remove, or refuse to display any User Content for any reason without notice.

6. AI-Generated Content

SparkedLink uses artificial intelligence, including third-party large language models, to generate date plans, itineraries, conversation prompts, recommendations, and related content (collectively, "AI Output"). You acknowledge and agree that AI Output is generated automatically based on the inputs you provide and a number of contextual signals, and that AI Output may be incomplete, inaccurate, outdated, biased, or otherwise not suited to your circumstances. AI Output is offered for inspiration and planning only and is not professional advice of any kind, including medical, legal, financial, nutritional, accessibility, or relationship advice.

Before acting on any AI Output, you should independently verify all material details, including but not limited to whether a recommended venue is open, accepting reservations, accessible to you, suitable for any dietary restrictions or allergies, located where the plan suggests, priced as the plan suggests, and safe to attend at the suggested time. Prices, hours, menus, and availability listed in any plan are estimates and may change without notice. SparkedLink does not guarantee the availability, quality, accuracy, suitability, safety, or legality of any venue, activity, event, or experience recommended in a plan.

You are solely responsible for your decisions and actions in connection with AI Output, including for any reservations you make, any money you spend, and any interactions you have with venues, events, or other people. SparkedLink disclaims all responsibility for AI Output to the maximum extent permitted by law.

7. Third-Party Venues, Events, and Services

The Service references and recommends restaurants, bars, lounges, cafes, hotels, parks, museums, galleries, theaters, concert venues, event organizers, ride-share providers, mapping providers, and other third parties (each, a "Third Party"). SparkedLink does not endorse, sponsor, employ, control, or assume responsibility for any Third Party, their offerings, their staff, their facilities, their pricing, their availability, their adherence to accessibility requirements, their compliance with health and safety regulations, or their treatment of you or anyone you bring with you.

Your interactions with any Third Party are solely between you and that Third Party. Any disputes you have with a Third Party should be resolved directly with that Third Party. SparkedLink is not a party to those transactions and has no obligation to mediate, refund, or otherwise become involved.

Some recommendations may include links to Third Party websites or applications. We are not responsible for the content, accuracy, availability, privacy practices, or terms of any Third Party site or service. Visiting a Third Party site is at your own risk and subject to that Third Party's terms.

8. Personal Safety

SparkedLink helps you plan dates. We do not screen, verify, or vet the people you choose to date or otherwise meet, and we do not screen, verify, or vet the venues or events you choose to attend. You are solely responsible for your personal safety and the safety of anyone you bring with you. We strongly encourage you to use good judgment when meeting anyone in person, when traveling to unfamiliar areas, when consuming food, drink, or any other substance, and when sharing personal information.

If you are in immediate danger, contact local emergency services. SparkedLink is not a safety service and cannot intervene in any emergency.

9. Sharing Plans

SparkedLink allows you to share plans by generating a public share link. When you create a share link, the contents of the plan, including any free-text notes or personalization you added that becomes part of the rendered plan, may be viewed by anyone with the link. Do not include sensitive personal information, full names, addresses, phone numbers, financial information, or anything else you would not want a stranger to read, in any field that may appear in a shareable plan. You may delete a share link from your dashboard, but cached or screenshot copies that already exist outside our control may persist.

10. Feedback and Submissions

If you submit feedback, suggestions, ideas, bug reports, feature requests, or other input ("Feedback") regarding the Service, you agree that we may use that Feedback for any purpose without compensation or attribution to you, and that we will not be subject to any confidentiality obligation in connection with such Feedback. You grant us a worldwide, perpetual, irrevocable, royalty-free license to use and exploit your Feedback in any manner we see fit.

11. Acceptable Use

You agree not to use the Service to do any of the following: violate any applicable law, regulation, or third-party right; impersonate any person or entity, or misrepresent your affiliation with any person or entity; collect or harvest information about other users without their consent; interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure; reverse engineer, decompile, or disassemble any part of the Service except as expressly permitted by law; access or attempt to access the Service through any automated means, including bots, scrapers, or data miners, except in compliance with a written agreement with us or a publicly published robots.txt file; bypass or attempt to bypass any rate-limiting, security, or access-control mechanism; submit prompts, free-text content, or any other input designed to elicit unsafe, unlawful, hateful, sexually explicit, or otherwise prohibited output from our AI systems; resell, sublicense, or commercially exploit any portion of the Service without our express prior written consent; or use the Service to develop a competing product, including by using AI Output to train or refine a competing recommendation system.

We may, in our sole discretion, suspend or terminate your access to all or part of the Service at any time for any violation of these Terms or for any other reason we believe in good faith justifies that action.

12. Intellectual Property

The Service, including all software, design, text, graphics, logos, icons, photographs, audio and video, the SparkedLink name, the SparkedLink mark, the tagline "Turn a spark into the perfect link," and the structure, selection, coordination, and arrangement of content (collectively, the "SparkedLink IP"), is owned by SparkedLink or its licensors and is protected by United States and international intellectual property laws.

Subject to your compliance with these Terms, SparkedLink grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal, non-commercial purposes. All rights not expressly granted are reserved.

Nothing in these Terms grants you any right to use any SparkedLink trademark, service mark, logo, trade name, or other distinctive brand feature without our prior written consent.

13. Sponsored Content, Advertising, and Business Partnerships

SparkedLink is free for users at launch. In the future we may earn revenue by featuring or promoting certain restaurants, events, venues, or other businesses ("Sponsored Content"), through affiliate links, by accepting paid placements, by selling premium business profiles, by displaying advertising, or through similar arrangements. When we display Sponsored Content, we will identify it as such using a clear label or visual indicator consistent with applicable advertising disclosure rules.

You acknowledge that the inclusion of Sponsored Content does not constitute an endorsement by SparkedLink of any sponsor, advertiser, or product, and that we are not responsible for the accuracy or legality of Sponsored Content provided by Third Parties. Your decision to engage with any Sponsored Content is your own.

14. Privacy

Your privacy is important to us. Our Privacy Policy, available at sparkedlink.com/privacy, describes how we collect, use, disclose, and protect your personal information, and explains the rights and choices you have in connection with that information. By using the Service, you consent to the practices described in the Privacy Policy.

15. Modifications to the Service

The Service is a work in progress. We may add, change, suspend, limit, or discontinue any feature of the Service at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict access to parts of the Service. We are not obligated to support, maintain, or update the Service.

16. Termination

You may stop using the Service at any time. You may delete your account at any time by following the instructions in the Service or by contacting us using the information in Section 24. We may suspend or terminate your access to the Service, delete your account, and delete or anonymize your User Content at any time, with or without notice, for any reason, including for your violation of these Terms or where we reasonably believe termination is necessary to protect the Service, our users, or any Third Party.

Sections that by their nature should survive termination will survive, including Sections 5 (license to User Content), 6 (AI-generated content disclaimers), 7 (Third-Party Venues), 10 (Feedback), 12 (Intellectual Property), 17 through 20 (Disclaimers, Liability, Indemnification, Governing Law), and 24 (Contact).

17. Disclaimers

THE SERVICE, INCLUDING ALL AI OUTPUT AND ALL CONTENT MADE AVAILABLE THROUGH THE SERVICE, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPARKLINK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, SPARKLINK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, USEFUL, OR APPROPRIATE FOR YOUR PURPOSES, THAT ANY THIRD-PARTY VENUE OR EVENT WILL BE OPEN, AVAILABLE, ACCESSIBLE, SAFE, OR AS DESCRIBED, OR THAT PRICES, HOURS, MENUS, ACCESSIBILITY INFORMATION, OR OTHER DETAILS ABOUT ANY THIRD-PARTY OFFERING WILL BE ACCURATE.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent those exclusions are not enforceable in your jurisdiction, the disclaimers above apply to the maximum extent permitted by law.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SPARKLINK OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, ANY AI OUTPUT, ANY THIRD-PARTY VENUE OR EVENT, OR ANY INTERACTION YOU HAVE WITH ANY THIRD PARTY OR OTHER USER, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SPARKLINK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL SPARKLINK'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS, IF ANY, YOU PAID TO SPARKLINK IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent those exclusions are not enforceable in your jurisdiction, our liability is limited to the maximum extent permitted by law.

19. Indemnification

You agree to defend, indemnify, and hold harmless SparkedLink and its affiliates, officers, employees, agents, partners, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, your violation of any law or regulation, your violation of any third-party right, or your interaction with any Third Party or other user that you met or planned to meet through the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification, in which case you agree to cooperate with our defense.

20. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of New York and the federal laws of the United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Except for disputes that may be brought in small claims court, any dispute, claim, or controversy arising out of or related to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its then-current Consumer Arbitration Rules, available at adr.org. The arbitration will be conducted in the county where you reside, or, at your election, by video or telephone conference. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. The AAA's Consumer Arbitration Rules limit the filing fee you must pay; SparkedLink will pay the remainder of the arbitration costs to the extent required by those rules.

For any claim that cannot be arbitrated, the parties consent to the exclusive jurisdiction of the state and federal courts located in New York, New York, and waive any objection to venue in those courts.

YOU AND SPARKLINK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

You have the right to opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to the address in Section 24 stating your full name, the email associated with your account, and a clear statement that you wish to opt out of arbitration.

21. Changes to These Terms

We may revise these Terms at any time by posting an updated version at sparkedlink.com/terms. When we make material changes, we will update the "Last Updated" date and may notify registered users by email or through the Service. If you do not agree to the revised Terms, your sole remedy is to stop using the Service before the revised Terms take effect. Your continued use after the effective date constitutes acceptance of the revised Terms.

22. Beta Features and Early Access

From time to time, we may offer features, tools, or content marked as "beta," "preview," "early access," or similar ("Beta Features"). Beta Features are provided for evaluation purposes only, may be unstable, may contain bugs or errors, may produce unexpected results, and may be modified, suspended, or discontinued at any time. Your use of any Beta Feature is at your sole risk and is subject to any additional terms we provide for that Beta Feature.

25. Miscellaneous

These Terms, together with the Privacy Policy and any other terms or policies expressly incorporated by reference, constitute the entire agreement between you and SparkedLink regarding the Service and supersede all prior agreements or understandings on that subject. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. You may not assign or transfer these Terms or any of your rights under them without our prior written consent, and any attempted assignment without that consent will be void. SparkedLink may assign these Terms or any of its rights under them at any time without notice. The headings in these Terms are for convenience only and have no legal or contractual effect. Any reference to "including" or "such as" means "including, without limitation."
